MANAGED YOUTUBE GROWTH – SERVICE AGREEMENT

This Service Agreement (“Agreement”) is entered into between Podcast Monkey / Nova Software LLC (“Provider”) and Client (“Client”). This Agreement governs Client’s purchase and Provider’s delivery of the Managed YouTube Growth service plan described below.

1. SERVICE SUMMARY
Plan Name: Managed YouTube Growth
Plan Description: Everything in Strategy & SEO Lab, plus done-for-you YouTube Management—so your channel runs weekly without you babysitting uploads.
Fee: $2,700/month
Term: Month-to-month (auto-renews monthly unless canceled per Section 6).

2. SCOPE OF SERVICES (WHAT’S INCLUDED)
The Managed YouTube Growth plan includes (A) Strategy & SEO Lab deliverables and (B) Done-For-You Management deliverables, as outlined below.

2A. STRATEGY & SEO LAB DELIVERABLES (INCLUDED IN THIS PLAN)
(1) YouTube Strategy (monthly consult + plan)
Monthly strategy consulting call to align goals, review performance, and lock your next 30 days of priorities across episodes, Shorts, and clips — plus a written 30-day roadmap + action notes (what to focus on, what to test, and what to improve).

(2) Weekly Upload Planning (strategy guidance)
A weekly upload map and priorities (what goes live, when, and why), plus planning + optimization guidance for the upcoming week’s assets. (Publishing is handled by Provider in this Managed plan.)

(3) Content Research + Topic Angles
Research-backed topic + angle recommendations based on audience intent, competitors, and what’s already working in your niche — plus suggested hooks, titles/framings, and content directions you can turn into episodes, Shorts, and clips.

(4) YouTube SEO Optimization (strategy + copy guidance)
Search-driven optimization guidance for every upload: titles, metadata, descriptions, keywords, playlists, chapters (if provided), and internal linking so content can be discovered on YouTube + Google.

(5) Short-Form + Clip Strategy (what to pull + how to hook)
Clear guidance on what to pull + how to hook: We use monthly SEO/topic research plus weekly strategist review of your near-final episode and upcoming uploads to refine clip selection, hooks, titles, and optimization priorities — including timestamps, strongest hook, and how to structure the first 1–3 seconds for retention and discoverability.

(6) Packaging Blueprint (thumbnail direction + titles)
Packaging = what earns the click. We provide thumbnail direction + title options/frameworks for key uploads so every post has a deliberate click strategy (not guesswork). You’ll receive a packaging plan for each upload: the core angle, title approach, thumbnail concept, and what to test to improve CTR.

(7) Analytics & Performance Monitoring (strategy-level)
We track the metrics that move growth — CTR, retention, watch time, traffic sources, subscribers gained, and what’s winning/losing — then translate it into clear next actions.

(8) Targets / Benchmarks (not guarantees)
Any performance targets referenced are estimates based on general industry data + best-practice execution and are not guarantees.

2B. MANAGED YOUTUBE GROWTH DELIVERABLES (DONE-FOR-YOU)
(1) Done-for-You YouTube Management
Provider uploads, schedules, and QA’s all planned uploads so weekly cadence stays consistent across assets.

(2) Full Optimization + Channel Organization (implementation)
Provider implements titles, descriptions, keywords/meta, playlists, chapters (if provided), end screens/cards, pinned comments, and internal linking—plus ongoing channel structure clean-up (home layout, sections, playlists).

(3) Weekly Performance Tweaks (CTR + Retention)
Provider reviews performance weekly and adjusts packaging + priorities for upcoming uploads (titles, angles, hooks, thumbnails to test) based on real results—not guesses.

(4) Monthly Reporting + Updated Content Plan
A monthly breakdown of wins/losses + what changes next month (what to double down on, what to stop, and what to test next).

(5) Upload Cap: Up to 24 Uploaded Assets/Month
This plan includes up to 24 uploaded assets per month total. “Assets” include long-form episodes, Shorts, clips, SEO clips, trailers, and bonus uploads. Unused capacity does not roll over. Additional uploads are available as add-ons at Provider’s then-current add-on rate or a written quote.

3. CLIENT RESPONSIBILITIES
Client agrees to provide what Provider needs to deliver the service, including:
Timely access to the YouTube channel / Brand Account (and any needed permissions).
Final/approved video files (and any sponsor/copyright notes) in time to maintain the planned publishing cadence.
Any required brand guidelines, approved links, and channel preferences (if applicable).

4. EXCLUSIONS (WHAT’S NOT INCLUDED UNLESS ADDED IN WRITING)
Unless explicitly included in writing, this Agreement does not include: filming/recording, video editing, motion graphics, paid ads management, community posts, comment moderation, or custom thumbnail design creation. This plan includes thumbnail direction and packaging guidance, not guaranteed design production, unless added as an extra service.

5. PAYMENT TERMS
Client authorizes monthly billing of $2,700. Payments are due in advance of the service month. If payment fails or becomes past due, Provider may pause work until the account is brought current.

6. TERM, RENEWAL, AND CANCELLATION
This is a month-to-month plan that auto-renews monthly. Either party may cancel with 30 days’ written notice. Billing continues through the notice period. Provider is not responsible for performance changes after cancellation or for delays caused by late Client deliverables/access.

7. RESULTS DISCLAIMER (NO GUARANTEES)
Client acknowledges that YouTube performance depends on many factors outside Provider’s control (content quality, niche demand, consistency, seasonality, audience response, algorithm changes, and competitive landscape). Provider does not guarantee specific views, subscribers, revenue, or rankings. Any benchmarks provided are targets, not guarantees.

8. INTELLECTUAL PROPERTY
Client retains ownership of their underlying content and channel. Provider’s strategy documents, templates, frameworks, internal processes, and methods remain Provider’s intellectual property. Client receives a license to use deliverables for their channel during and after the term.

9. LIMITATION OF LIABILITY
To the maximum extent permitted by law, Provider’s total liability under this Agreement will not exceed the amount paid by Client to Provider in the most recent one (1) month of services. Provider will not be liable for indirect, incidental, special, consequential, or punitive damages.

10. GOVERNING LAW
This Agreement is governed by the laws of the State of North Carolina, without regard to conflict-of-law rules.

11. ENTIRE AGREEMENT
This Agreement constitutes the entire understanding between the parties regarding the Managed YouTube Growth plan and supersedes all prior discussions on the same subject. Changes must be made in writing.

ACCEPTANCE
Client accepts this Agreement and authorizes Provider to begin service upon successful payment and/or written confirmation.
