Terms & Conditions
The YouTube Audit & Growth Plan described in the Client’s purchase/order (the “Proposal”) is subject to these Terms and Conditions (these “Terms”, together with the Proposal, the “Agreement”).

1. Services.
During the Term of this Agreement, Podcast Monkey will provide the Client with a one-time YouTube Audit & Growth Plan (the “Services”). The Services include the following Deliverables (the “Deliverables”):

• 60-Min Strategy Call — A 60-minute Zoom strategy call to clarify goals, positioning, audience, current workflow, and what success looks like over the next 6 months. Includes live Q&A and next-step priorities.

• In-Depth Channel + Positioning Audit — A strategic review of channel positioning, brand clarity, first impressions, channel layout, homepage organization, and how the channel communicates value to a new viewer (what to keep, fix, or simplify).

• Analytics Baseline + Targets — A clear baseline of current performance (views, CTR, retention, watch time, traffic sources, subscriber conversion) plus practical target ranges and what levers to pull to improve them (benchmarks are not guarantees).

• Content Performance Review (Episodes + Shorts) — Performance review of recent long-form episodes and Shorts to identify what’s working, what’s not, and why (hooks, retention drops, packaging, pacing, topic choice, and conversion opportunities).

• Competitor + Trend Benchmarking — Comparison against up to three relevant channels/competitors to identify gaps, opportunities, and proven patterns in your niche (topics, packaging styles, cadence, Shorts approach, and positioning).

• YouTube SEO + Channel Settings Fixes — Recommended improvements to channel metadata and settings (channel title/description direction, keyword strategy, tags approach, playlists structure, defaults, and discoverability fixes).

• Thumbnail + Title Blueprint — A packaging blueprint for stronger clicks: thumbnail direction (style rules + what to emphasize), title formulas, examples, and a repeatable “packaging checklist” your team can use every upload.

• Shorts Strategy + Linking System — A Shorts strategy designed to feed long-form episodes: hook angles, structure guidance, and a linking flow (titles/description/pinning/playlist approach) to route viewers from Shorts → episodes.

• 6-Month Growth Roadmap + Action Plan — A month-by-month strategy plan covering content pillars, upload cadence recommendations, testing priorities, and a prioritized execution sequence so the channel has a clear path to growth.

• Full Audit Report (25–35 pages) — Delivered as a written audit document (typically 25–35 pages) consolidating findings, recommendations, examples, and the 6-month plan into one clear reference your team can implement.

Unless otherwise agreed in writing, the Services are advisory/strategic in nature and do not include ongoing channel management, uploading/publishing, editing/post-production, active community management, or ad spend. Any implementation work beyond the Deliverables listed above is outside scope and requires a separate agreement.

2. Term.
This Agreement is effective as of the date of the Client’s purchase/order (the “Effective Date”) and will continue until completion of the Services (the “Term”), unless earlier terminated under Section 12.

3. Compensation.
3.1 Fees. As full and complete compensation for the Services, the Client agrees to pay Podcast Monkey $1,000 USD one time (the “Fees”). Fees are due in full upon purchase unless otherwise agreed in writing.
3.2 Late Payments. If payment is not successfully processed, Services may be paused until payment is received.
3.3 Expenses. Unless otherwise agreed, Fees include Podcast Monkey’s internal costs to deliver the Deliverables described above. Third-party tools/subscriptions (if any) requested by Client are not included unless explicitly stated in writing.
3.4 Payment Method. Payment will be made in United States dollars via the payment method used at checkout or via invoice/payment link provided by Podcast Monkey.

4. Client Responsibilities.
Client agrees to provide timely access and materials reasonably needed to perform the Services, which may include (as applicable): YouTube channel link, channel access (viewer/manager access or exports), analytics screenshots/exports, brand assets, and context on target audience and content goals. Delays in providing required access/materials may delay delivery timelines.

5. Equipment.
Podcast Monkey will furnish all necessary software and materials used to provide the Services unless otherwise agreed between the Parties.

6. Independent Contractor Relationship.
Podcast Monkey’s relationship with Client is that of an independent contractor, and nothing in this Agreement is intended to, or will be construed to, create a partnership, agency, joint venture, employment, or similar relationship. Podcast Monkey may provide the Services through its employees or contractors (“PM Personnel”). PM Personnel are not Client employees, and Client will have no responsibility for hiring, firing, or management of PM Personnel.

7. Intellectual Property.
7.1 Ownership. Upon full payment of Fees, Client will own the final audit deliverables created specifically for Client under this Agreement, including the Full Audit Report and associated written strategy materials (the “Work Product”). Work Product does not include Podcast Monkey’s internal templates, systems, processes, tools, or generalized frameworks used to produce the Work Product (“Podcast Monkey Technology”). Podcast Monkey retains all rights to Podcast Monkey Technology.
7.2 Portfolio License. Client grants Podcast Monkey a limited, non-exclusive, royalty-free license to reference the engagement and use non-confidential excerpts, screenshots, or depictions of Deliverables for self-promotion/portfolio purposes, unless Client notifies Podcast Monkey in writing that portfolio use is not permitted.

8. Confidentiality.
8.1 Confidential Information means non-public information related to either Party’s business, including analytics, strategies, pricing, or unreleased plans. Confidential Information does not include information that is public through no fault of the receiving Party, independently developed, or lawfully received from a third party without duty of confidentiality.
8.2 The receiving Party will use reasonable care to protect Confidential Information and will not disclose it except to personnel/service providers who need to know it to perform obligations under this Agreement and who are bound by confidentiality obligations.
8.3 Disclosure may be made if required by law or legal process, provided the compelled Party gives prompt notice (when legally permitted) to allow the other Party an opportunity to seek protective treatment.

9. No Guarantees / Benchmarks.
Client acknowledges that growth outcomes depend on many factors outside Podcast Monkey’s control (niche, competition, content quality, consistency, algorithm changes, execution speed, etc.). Any benchmarks, projections, or target ranges discussed or included in Deliverables are not guarantees of performance.

10. Representations and Warranties.
Each Party represents and warrants that it has full right and authority to enter into this Agreement. Podcast Monkey warrants it will provide the Services in a professional and workmanlike manner consistent with industry standards for strategic consulting services.

11. Limitation on Liability.
IN NO EVENT WILL PODCAST MONKEY BE LIABLE FOR ANY CONSEQUENTIAL, INDIRECT, EXEMPLARY, PUNITIVE, SPECIAL, OR INCIDENTAL DAMAGES ARISING FROM OR RELATING TO THIS AGREEMENT. PODCAST MONKEY’S TOTAL CUMULATIVE LIABILITY RELATED TO THIS AGREEMENT WILL NOT EXCEED THE AMOUNT OF FEES PAID BY CLIENT FOR THE SERVICES UNDER THIS AGREEMENT.

12. Termination.
12.1 Termination by Client. Client may request cancellation before work begins by written notice. If Services have not started, Podcast Monkey will refund Fees less any processing fees (if applicable).
12.2 Termination After Start. If Client terminates after Podcast Monkey has started work, Podcast Monkey may retain a prorated portion of Fees based on work completed, and will deliver any completed work-in-progress materials in their current state upon request.
12.3 Termination for Breach. Either Party may terminate upon 10 days’ written notice if the other Party materially breaches and fails to cure within the notice period.

13. General Provisions.
13.1 Governing Law. This Agreement will be governed by the laws of the State of North Carolina, without reference to conflict of law principles.
13.2 Dispute Resolution. Any dispute arising out of or relating to this Agreement will be resolved by confidential arbitration in Greensboro, North Carolina, administered pursuant to JAMS Comprehensive Arbitration Rules and Procedures (unless otherwise required by law). Judgment on the award may be entered in any court having jurisdiction.
13.3 Severability. If any term is invalid or unenforceable, the remaining terms remain in full force and effect.
13.4 Entire Agreement. This Agreement constitutes the entire agreement between the Parties with respect to the Services and supersedes prior discussions or agreements on the subject matter.

14. Delivery Timing.
Podcast Monkey will make reasonable efforts to deliver the Full Audit Report within 10–15 business days after receiving required access/materials and completing the Strategy Call, subject to workload, client responsiveness, and scope changes. Podcast Monkey will communicate any anticipated delays as soon as reasonably possible.
