Terms & Conditions
The YouTube Strategy & SEO Lab (the “Plan”) described below is subject to these Terms and Conditions (these “Terms”). These Terms, together with the Plan scope below, form the agreement (the “Agreement”) between Podcast Monkey (“Podcast Monkey,” “we,” “us”) and the client (“Client,” “you”).
Services
During the Term, Podcast Monkey will provide the YouTube strategy, SEO optimization guidance, and performance monitoring services described below (the “Services”). Client understands this Plan is a strategy + optimization service; Client’s team is responsible for publishing/uploads unless otherwise agreed in writing.
1.1 Scope of Services (Plan Inclusions)
Podcast Monkey will provide the following deliverables and guidance (collectively, the “Deliverables”):
(1) YouTube Strategy (monthly consult + plan)
Monthly strategy consulting call to align goals, review performance, and lock your next 30 days of priorities across episodes, Shorts, and clips — plus a written 30-day roadmap + action notes (what to focus on, what to test, and what to improve).
(2) Weekly Upload Plan (up to 6 assets/week)
A weekly upload map (what goes live, when, and why). Planning + optimization guidance. An “asset” can be a long-form upload, Short, clip, or SEO clip. (Example: 1 episode + 3 Shorts + 2 clips = 6.) Unused capacity does not roll over. Client’s team publishes/uploads.
(3) Content Research + Topic Angles
Research-backed topic + angle recommendations based on audience intent, competitors, and what’s already working in your niche — plus suggested hooks, titles/framings, and content directions you can turn into episodes, Shorts, and clips.
(4) YouTube SEO Optimization
Search-driven optimization guidance for every upload: titles, metadata, descriptions, keywords, playlists, chapters, and internal linking so your content gets discovered on YouTube + Google. Podcast Monkey provides the optimized copy + structure; Client applies it during upload.
(5) Short-Form + Clip Strategy
Clear guidance on what to pull + how to hook: We use your monthly SEO/topic research plus weekly strategist review of your near-final episode and upcoming uploads to refine clip selection, hooks, titles, and optimization priorities — with timestamps, the strongest hook, and how to structure the first 1–3 seconds for retention and discoverability. Weekly strategist review time is included up to approximately 3 hours/week; unused time does not roll over.
(6) Packaging Blueprint (thumbnail + titles)
Packaging = what earns the click. We give thumbnail direction + title options/frameworks for your key uploads so every post has a deliberate click strategy (not guesswork). You’ll get a packaging plan for each key upload: the core angle, title approach, thumbnail concept, and what to test to improve CTR. (Direction + concepts only; not design execution unless separately contracted.)
(7) Analytics & Performance Monitoring
We track the metrics that actually move growth — CTR, retention, watch time, traffic sources, subscribers gained, and what’s winning/losing — then translate it into clear next actions.
(8) Target benchmarks (not guarantees)
Estimates based on general industry data + best-practice execution: +10–15% increase in views with +5–7% increase in subscribers in the first 30 days (targets, not guarantees). By week 12: +120–160% more views/subs when the strategy + packaging is implemented consistently.
1.2 Exclusions (Not Included Unless Added in Writing)
Unless explicitly included in a separate written addendum, this Plan does NOT include: uploading/publishing, community management/comment replies, DMs, sponsor outreach, paid ads management, thumbnail design production, video editing, filming/recording, or any services outside the Deliverables listed in Section 1.1.
1.3 Client Responsibilities
Client agrees to:
(a) Provide timely access to YouTube Studio/Analytics and any other required accounts/tools.
(b) Provide near-final episode files and/or links and proposed upload schedule in time for weekly review and planning.
(c) Implement or ensure implementation of the provided optimization copy/structure during uploads (titles, descriptions, chapters, playlists, tags/keywords where applicable).
(d) Respond to questions and approvals in a timely manner so deadlines are not missed.
(e) Maintain all rights/permissions for any content Client publishes (music, footage, images, guest releases, etc.).
Term
This Agreement begins on the date of Client’s first purchase/payment (the “Effective Date”) and continues on a month-to-month basis (the “Term”) unless terminated in accordance with Section 9.
Compensation
3.1 Fees
Client agrees to pay Podcast Monkey $1,800 USD per month (the “Fees”) for the Plan.
3.2 Billing & Payment Method
Fees are billed monthly in advance and will be automatically charged on the same day each month based on the Client’s initial purchase date. Payment will be made via credit card or other available payment method in the Podcast Monkey dashboard/checkout system.
3.3 Late Payments
Payments not received within seven (7) days of the due date may result in paused services, delayed deliverables, or suspension of access to active work until the account is brought current.
3.4 Out-of-Scope Work
Requests beyond the scope in Section 1.1 (including additional assets beyond the weekly cap, additional meetings, or additional deliverables) require written approval and may incur additional fees at Podcast Monkey’s then-current rates.
Delivery, Communication, and Working Process
4.1 Monthly Strategy Call
Client will receive one (1) monthly strategy consulting call (time and format coordinated by mutual agreement). If Client misses or cancels without at least 24 hours notice, Podcast Monkey will make reasonable efforts to reschedule within the same month, subject to availability. Unused calls do not roll over.
4.2 Weekly Review & Planning Inputs
Client agrees to provide the near-final episode and any relevant context (topics, guest notes, desired posting window, etc.) with sufficient lead time to support weekly review and planning. Delays in providing materials may delay deliverables.
4.3 Revisions to Written Deliverables
Reasonable revisions to written Deliverables (roadmaps, upload plans, optimization copy, packaging notes) are included if requested within seven (7) days of delivery. Revisions do not include rework caused by major changes in direction after approval or additional assets beyond scope.
Independent Contractor Relationship
Podcast Monkey is an independent contractor. Nothing in this Agreement creates a partnership, joint venture, agency, or employment relationship between the Parties.
Intellectual Property
6.1 Client Content
Client retains all ownership rights to Client’s underlying content, brand assets, and channels/accounts.
6.2 Deliverables License and Use
Upon payment of all Fees due, Client is granted a non-exclusive, worldwide license to use the written Deliverables created under this Agreement for Client’s internal business purposes and for publishing Client’s content. Podcast Monkey retains ownership of its methods, processes, templates, frameworks, and internal systems used to produce the Deliverables.
6.3 Portfolio License
Client grants Podcast Monkey a limited, non-exclusive, royalty-free license to reference the Client’s name/logo and non-confidential results for portfolio/self-promotion purposes unless Client opts out in writing.
Confidentiality
Each Party agrees to keep the other Party’s Confidential Information confidential and to use it only as needed to perform under this Agreement. “Confidential Information” includes business, financial, strategy, analytics, and non-public operational information. Confidential Information does not include information that is publicly available through no fault of the receiving Party.
Representations and Warranties
8.1 By Client
Client represents and warrants that it has all necessary rights, permissions, and licenses to use and publish all content provided or published under Client’s accounts, and that such use will not infringe third-party rights.
8.2 By Podcast Monkey
Podcast Monkey will perform the Services in a professional and workmanlike manner consistent with industry standards for consulting/strategy services.
No Guarantees; Benchmarks Disclaimer
Client acknowledges that YouTube performance depends on many factors outside Podcast Monkey’s control (including but not limited to algorithm changes, niche demand, competition, creative quality, publishing consistency, audience behavior, channel history, and Client implementation). Any benchmarks, forecasts, or estimates are targets and not guarantees. Podcast Monkey does not guarantee any specific number of views, subscribers, revenue, rankings, or monetization outcomes.
Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, PODCAST MONKEY WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES. PODCAST MONKEY’S TOTAL LIABILITY ARISING OUT OF OR RELATED TO THIS AGREEMENT WILL NOT EXCEED THE TOTAL FEES PAID BY CLIENT TO PODCAST MONKEY IN THE THREE (3) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
Termination
11.1 Client Termination (30-Day Notice)
Client may terminate this month-to-month Agreement at any time by providing at least thirty (30) days’ written notice. If notice is not provided at least 30 days before the next billing date, the next monthly charge may process and that month will be owed and serviced.
11.2 Termination for Cause
Either Party may terminate this Agreement upon ten (10) days’ written notice if the other Party materially breaches the Agreement and fails to cure within that notice period.
11.3 Effect of Termination
Upon termination, Client will remain responsible for any unpaid Fees through the effective termination date. Access to ongoing strategy work and active deliverables may stop after termination becomes effective, except for any deliverables already completed/paid for.
Dispute Resolution; Governing Law
This Agreement will be governed by the laws of the State of North Carolina, without regard to conflict of law principles. Any dispute arising out of or relating to this Agreement will be resolved in a court of competent jurisdiction located near Greensboro, North Carolina, unless the Parties mutually agree to arbitration in writing.
General Provisions
13.1 Entire Agreement
This Agreement constitutes the entire agreement between the Parties regarding the Plan and supersedes prior discussions or understandings on the subject.
13.2 Severability
If any provision is found unenforceable, the remaining provisions will remain in effect.
13.3 Amendments
Any amendment must be in writing and agreed to by both Parties.
13.4 Notices
Notices must be provided in writing via email or other agreed written channel to the contact information on file.
Acceptance
By purchasing the YouTube Strategy & SEO Lab Plan and/or paying the Fees, Client acknowledges it has read, understood, and agrees to these Terms.
